These Terms of Service (“Terms”) are an agreement between Depot Nexus Inc. (“Depot Nexus”, “we”, “us”) and the organization or person using the Depot Nexus website and application (the “Service”). By creating an account, accepting an invitation, or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.
1. Accounts
- An organization administrator creates the organization’s account and invites users. Each user must keep their login credentials confidential and is responsible for activity under their account.
- You must provide accurate information and promptly update it if it changes.
- Organization administrators are responsible for the users they invite, the roles they assign, and the integrations they enable.
2. Subscriptions and billing
- The Service is offered on monthly subscription plans with limits on locations and users as described on our pricing page. Plans are billed in advance through our payment processor, Stripe.
- You may change or cancel your plan at any time from the billing settings. Cancellation takes effect at the end of the current billing period. Fees already paid are non-refundable except where required by law.
- If a payment fails, we will notify your administrators and may suspend access until payment is resolved.
- We may change prices with at least 30 days’ notice to your organization’s administrators.
3. Your data
- You own the data you and your users enter into the Service (“Customer Data”). You grant us a license to host, process, and display Customer Data only as needed to provide the Service to you.
- You are responsible for the accuracy of Customer Data and for having the rights to upload it.
- You can export reports and data from the Service at any time. Our handling of personal information is described in our Privacy Policy.
4. Acceptable use
You agree not to:
- Use the Service in violation of any law, including pesticide, transportation, or employment laws.
- Access another organization’s data or attempt to bypass access controls.
- Reverse engineer, scrape, or overload the Service, or use it to build a competing product.
- Upload malicious code or content that infringes others’ rights.
- Use the demo-request or support channels to send unsolicited messages.
5. AI features and professional judgment
Bug ID, Ask Buzz, reorder suggestions, driver scores, and similar features produce automated output based on the information available to them. That output can be wrong. It is provided to assist trained staff and is not professional, legal, safety, or agronomic advice. Always follow the product label, applicable regulations, and your own professional judgment. Depot Nexus is not responsible for decisions made in reliance on automated output.
6. Third-party services
The Service can connect to third-party services such as telematics providers and payment processors. Those services are governed by their own terms. We are not responsible for their availability, accuracy, or conduct.
7. Availability and support
We work to keep the Service available and publish current status at depotnexus.io/status. We may perform maintenance, release updates, or change features over time. Support is provided by email according to your plan.
8. Intellectual property
The Service, including its software, design, and content (other than Customer Data), is owned by Depot Nexus and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription in accordance with these Terms.
9. Termination
You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms, fail to pay, or if we must do so to protect the Service or comply with law. After termination you may request an export of your Customer Data within 30 days, after which we may delete it.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, DEPOT NEXUS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.
12. Indemnity
You will defend and indemnify Depot Nexus against claims arising from your Customer Data, your use of the Service in violation of these Terms, or your violation of law.
13. Governing law and disputes
These Terms are governed by the laws of the state in which Depot Nexus Inc. is organized, without regard to conflict-of-law rules. The parties will first try in good faith to resolve any dispute informally. Any dispute that cannot be resolved informally will be brought in the state or federal courts located in that state, and each party consents to their jurisdiction.
14. Changes to these Terms
We may update these Terms from time to time. We will change the effective date above and, for material changes, notify organization administrators by email or in the app at least 14 days before they take effect. Continued use after that date means you accept the updated Terms.
